Changes to the Board
In accordance with paragraph 3.59(b) of the JSE Limited Listings Requirements, the board of directors of
the Company (“the Board”) wishes to advise that Mr Peter Saungweme will step down as chief executive
officer (“CEO”) of the Company with effect from 31 December 2021.
The Board would like to thank Mr Saungweme for his valuable contribution to the Company over the years
and wishes him well in his future endeavours.
At a special meeting of Arden Capital shareholders held on 20 December 2021, shareholders approved,
inter alia the voluntary liquidation of the Company. Based on the outcome of the special meeting, the JSE
Limited (“JSE”) has granted the Company dispensation from the requirements of paragraph 3.84(b) of the
JSE Listings Requirements to allow Mr Simon Village, the current Chairman of the Board to fulfil the dual
role of CEO and Chairman with effect from 1 January 2022 until the delisting of the Company.
