REDOMICILE OF LIGHTHOUSE TO MALTA AND CHANGE OF NAME
1. UPDATE WITH REGARD TO THE PROPOSED REDOMICILE OF LIGHTHOUSE TO MALTA
Shareholders are referred to the results of the general meeting announcement released on the Stock Exchange News
Service of the JSE Limited ("JSE") ("SENS") on Wednesday, 29 September 2021, advising that Lighthouse
shareholders had, inter alia, approved the redomicile of the Company to Malta (the "Redomicile") and a resultant
change in name of the Company, together with a voluntary withdrawal from the Official Market of the Stock Exchange
of Mauritius ("SEM"), and the subsequent announcement of Monday, 25 October 2021, confirming that Lighthouse
would be withdrawn from the Official Market of the SEM with effect from Friday, 29 October 2021 (the
"Withdrawal").
Subsequent to the Withdrawal, Lighthouse submitted all documentation required to give effect to the Redomicile to
the Malta Business Registry ("MBR"), who, on Wednesday, 29 December 2021, issued a Provisional Certificate of
Continuation to Lighthouse. A company is lawfully registered in Malta from the date when the Provisional Certificate
of Registration is issued. The Provisional Certificate of Registration is substituted with the Final Certificate of
Registration following the cessation of registration in Mauritius when the Registrar of Companies in Mauritius issues
a Certificate of Removal. The date of removal from the Mauritian Companies Register will be Wednesday,
29 December 2021, to align with the registration date in Malta.
2. CHANGE OF NAME
Following the registration of Lighthouse in Malta, the Company's name will change from "Lighthouse Capital
Limited" to "Lighthouse Properties plc" with effect from the date of lawful registration, being Wednesday,
29 December 2021. The Company will retain its history. Salient dates and times with regard to the change of name
are detailed below:
