No change statement

Shareholders of AfroCentric (“Shareholders”) are hereby advised that the audited
annual financial statements of the Company for the year ended 30 June 2015, as
contained in the integrated annual report 2015 (“Integrated Report”), were posted to
Shareholders on 18 December 2015, and contain no modifications to the audited
results which were published on SENS on 22 September 2015.

Notice of the Annual General Meeting (“AGM”)

Notice is hereby given that the AGM of the Company will be held on Friday, 5
February 2016 at 10:00 at The Bonitas Marketing Company Offices, the Greens
Office Park, Building L, 26 Charles De Gaulle Crescent, Highveld Ext 12, Centurion
to transact the business as set out in the notice of the AGM, which forms a part of the
Integrated Report.

Record date

The record date on which shareholders must be recorded as such in the Company’s
securities register in order to participate in and vote at the AGM is Friday, 29 January
2016.

Proxy forms must be lodged by no later than 10:00 on Wednesday, 3 February 2016
