VOTING OUTCOME BY NOTEHOLDERS
The MMI Group Limited (the Issuer) issued a consent request to
the MET01 Noteholders and the MGL01 Noteholders (the
Noteholders) on 10 December 2013 to consider and, if thought
fit, to consent to:
1. the amendment and restatement of the Momentum Programme
Memorandum and its consolidation with the Metropolitan
Programme Memorandum including amending and restating the
Momentum Terms and Conditions to form the MMI Programme;
2. the amendment and restatement of the Applicable Pricing
Supplement relating to the issue of ZAR1,000,000,000
Unsecured Subordinated Callable Notes due 15 September
2020 (MGL01) on 25 April 2006 by MMI Group Limited
(formerly Momentum Group Limited) (the MGL01 Applicable
Pricing Supplement); and
3. the amendment and restatement of the Applicable Pricing
Supplement relating to the issue of ZAR500,000,000
Unsecured Subordinated Callable Notes due 15 December 2019
(MET01) on 15 December 2006 by Metropolitan Life Limited
(the MET01 Applicable Pricing Supplement).
The Issuer wishes to advise the Noteholders that the motion
was approved by 77.84% of the MET01 Noteholders and 74.45% of
the MGL01 Noteholders on 21 January 2014.
The MMI Programme, MET01 Applicable Pricing Supplement and
MGL01 Applicable Pricing Supplement, reflecting the approved
changes, will be signed in due course and will be available on
the Issuer’s website at http://www.mmiholdings.com once signed.
