NOTEHOLDERS - DELISTING OF NOTES

1. We, hereby give notice to all Noteholders holding Notes under the Issuer's ZAR 500,000,000
unsecured note programme (the "Programme") (subsequently increased to a Programme Amount
of ZAR 1,000,000,000) pursuant to the programme memorandum dated 3 May 2012 (the "Programme
Memorandum")in accordance with paragraph 1.19 of the JSE Debt Listings Requirements.

2. Capitalised terms and expressions used herein and not otherwise defined herein, shall
bear the meanings ascribed thereto in the section of the Programme Memorandum titled
"Interpretation".

3. We refer to our notice dated 11 June 2018, delivered to the Noteholders in accordance
with paragraph 1.19 of the JSE Debt Listings Requirements, in terms of which the Issuer
requested the consent of the Noteholders by special written resolution to delist the Notes
issued under the Programme from the Interest Rate Market of the JSE. The notice provided
that the Written Special Resolution would automatically be approved and passed if and when
relevant Noteholders holding between them relevant Notes representing at least 66.67% in
value of the aggregate Outstanding Nominal Amount of each Series of Notes have given their
written consent and approval. The date that the Issuer selected to determine which
Noteholders recorded in the Register would receive this notice, is 8 June 2018. The special
written resolution is copied in below:

"IT IS HEREBY RESOLVED BY THE SENIOR NOTEHOLDERS BY SPECIAL RESOLUTION THAT: the Senior
Notes referred to in paragraph 2 above be delisted from the Interest Rate Market of the
JSE with effect from 3 days after the required majority of votes in favour of delisting
have been obtained (or soon as possible thereafter)."

4. In accordance with paragraphs 1.18 and 1.20 of the JSE Debt Listing Requirements, we
hereby confirm that the requirements of paragraph 1.19 of the JSE Debt Listing Requirements
have been complied with and that, although not all Noteholders have voted as yet, more than
66.67% of Noteholders in each of the Series of Notes Outstanding under the Programme have
voted in favour of delisting the Notes as reflected by the tally of votes set out below.
We have accordingly submitted an application to the JSE for the Notes to be delisted as
soon as the application has been processed and we expect the Notes to be delisted with
effect from Friday, 29 June 2018.



Once the Notes have been delisted we will no longer communicate with the Noteholders
through SENS and communications will be sent through Strate and your central securities
participant only.
