APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR

In terms of paragraph 6.39 of the JSE Limited Debt Listings Requirements, noteholders are advised
that Mr Reynolds Maleka has been appointed as an independent non-executive director to the Boards
of Grindrod Bank Limited and Grindrod Financial Holdings Limited, the holding company of Grindrod
Bank, with effect from 4 November 2021. The appointment has been made in terms of Grindrod Bank’s
nomination policy.

The appointment was made in order to ensure that the respective Boards were fully constituted.

Mr Maleka holds a B.Com degree from the University of the North, a MBA from the University of the
Witwatersrand, and he has also completed an INSEAD International Executive Programme (IEP).
Reynolds is a seasoned executive with over 17 years of experience at executive and senior
management level. He has held leadership roles in large financial institutions including ABSA / Barclays
Africa and Nedbank.
