TRADING STATEMENT FOR THE YEAR ENDED 30 SEPTEMBER 2023

Nampak is in the process of finalising its audited annual results for the year ended 30
September 2023 ("the year" or "FY23"). In terms of the JSE Listings Requirements,
shareholders are advised that Nampak is satisfied that a reasonable degree of certainty exists
that the financial results for the year to be reported upon will differ by at least 20% from 30
September 2022 ("the prior year" or "FY22").

As a consequence of the share consolidation and rights offer the weighted average number
of shares ("WANS") in issue for the prior year of 636 324 874 has been restated to 3 012 584
in terms of IAS 33: Earnings per Share. The WANS for FY23 is 3 473 302.

The change in headline loss per share ("HLPS") and headline earnings per share ("HEPS")
and loss per share ("LPS") for the group for the year are expected to be as follows:

 -  HLPS of between 46 100.0 cents and 47 600.0 cents compared to HEPS of 7 589.2 cents
    in FY22; and
 -  A LPS of between 116 900.0 cents and 117 800.0 cents is expected compared to LPS of
    4 879.5 cents in FY22.

The following factors impacted the 2023 financial results:

 -  Higher impairment losses of R2.8 billion recognised for the year compared to R512 million
    in FY22;
 -  Higher forex losses of R1.2 billion incurred in the year (FY22 R546 million), primarily
    attributable to operations in Nigeria; and
 -  Higher net finance costs of R1.2 billion (inclusive of once-off refinancing advisory costs of
    R335 million) increased from R586 million in FY22.

The information contained in this trading statement has not been reviewed or reported on by
the company's external auditors. Nampak expects to release its audited annual results on or
about Monday, 4 December 2023.
