SALIENT DATES AND TIMES IN RELATION TO THE BROAD-BASED BLACK ECONOMIC
EMPOWERMENT (“B-BBEE”) TRANSACTION AND NOTICE OF A GENERAL MEETING OF
SHAREHOLDERS


1. INTRODUCTION

  Shareholders of Imperial (“Shareholders”) are referred to the announcement dated 23 April 2021
  in terms of which shareholders were advised that the Company had entered into transaction
  agreements with the B-BBEE Shareholders in relation to a proposed transaction that would provide
  the B-BBEE Shareholders with an opportunity to participate in a 25% B-BBEE shareholding in ILSA
  (“the 23 April Announcement”).

  As the Transaction is deemed a Related Party Transaction as defined in the Listings Requirements
  of the JSE, the Transaction is subject to approval by Shareholders

  Unless specifically defined in this announcement, terms defined in the 23 April
  Announcement and the Circular shall bear the same meanings when used in this
  announcement.


2. POSTING OF CIRCULAR

  Shareholders are advised that a circular to Shareholders setting out the full details of the
  Transaction (“Circular”), and including a notice to convene the General Meeting for the purpose of
  considering and, if deemed fit, passing with or without modification, the relevant resolutions required
  to authorise and implement the Related Party Transaction, has been posted to Shareholders today,
  Friday, 25 June 2021.

  The Circular has also been made available on the Company’s website at
  https://www.imperiallogistics.com/inv-circular.php.

  The salient dates and times in relation to the General Meeting is set out below.

   Notes:

   1.   The dates and times provided for in this announcement are subject to amendment. Any material amendments will be
        published on SENS.
   2.   If the General Meeting is adjourned or postponed, forms of proxy submitted for the initial General Meeting will remain
        valid in respect of any adjournment or postponement of the General Meeting, unless the contrary is stated on such
        form of proxy.
   3.   Imperial Shareholders are reminded that Imperial Shares can only be traded in dematerialised form. It is therefore
        suggested that Certificated Shareholders on the Register only dematerialise their Imperial Shares prior to the Last
        Date to Trade. No orders to dematerialise or rematerialise Imperial Shares will be processed from the Business Day
        following the Last Date to Trade up to and including the General Meeting Record Date, but such orders will again be
        processed from the first Business Day after the General Meeting Record Date.
   4.   The Register for Certificated Shareholders will be closed between the Last Date to Trade and the General Meeting
        Record Date.
