AMENDMENTS TO GREENHOUSE FUNDING III (RF) LIMITED AGREEMENTS


Following the press release by the FSB dated 4 September 2015
advising of the decision to deregister Fitch ratings as a rating
agency, Greenhouse Funding III (RF) Limited has appointed Moody’s
Investors Service (Moody’s) as the replacement rating agency. The re-
rating of the notes by Moody’s necessitated various amendments to
certain definitions in the Transaction Documents.

Following a successful voting process by noteholders, the definitions
of “Permitted Investments”, “Required Credit Rating” and “Principal
Deficiency” have been amended.

The amendments to the above definitions can be found in the General
Amendment Agreement on the JSE website as well as on Nedbank
Limited’s    website   as    administrator   to    the   programme:
