2024 Annual Meeting of Stockholders (the "Annual Meeting") has been distributed to shareholders, and the Proxy
Materials for the Annual Meeting will be available on the Company's website at https://ir.powerfleet.com/proxy-
materials. The Annual Meeting will be held in a virtual meeting format on Tuesday, September 17, 2024, at 10:00 a.m.,
U.S. Eastern Time, to transact the business stated in the Notice.
