Fulfilment of the conditions precedent in respect

of the issue of Trans Hex debentures to East Dagga

All the conditions precedent to the issue by Trans Hex of 16 million

unsecured 13.5% participating compulsorily convertible debentures ("the
debentures") to East Dagga have been fulfilled. Details of the acquisition
by East Dagga of the right to subscribe for the debentures from Mvela
Diamonds are contained in the joint announcement by East Dagga and

Mvelaphanda Holdings (Proprietary) Limited ("Mvela Holdings") published on
Thursday 31 January 2002. The debentures, which will not be listed on the
JSE Securities Exchange South Africa, will be issued on Tuesday 5 March
2002.

The debenture proceeds will be used to fund Trans Hex's capital expenditure
obligations.

East Dagga has indicated its intent to change its name to Mvelaphanda
Resources Limited ("Mvela Resources") to more accurately reflect its black
empowerment shareholder base. Upon exercise of its option to acquire 5
million Trans Hex shares from Remgro Limited, East Dagga/Mvela Resources
will own 21.1% of Trans Hex. Mvela Holdings controls an additional 3.8% of
Trans Hex through Guild Hall No 22 Investment Holding Company (Proprietary)
Limited ("Guild Hall") resulting in the Mvela group controlling 24.5% of
Trans Hex. East Dagga has a right of first refusal to acquire Mvela
Holdings' interest in Guild Hall.
