DEALING BY A DIRECTOR - DISTRIBUTION TO A CHARITABLE ORGANISATION
Shareholders are hereby referred to the previous SENS announcement
dated 29 August 2017, in which it was advised that Mr JF Mouton,
chairman of PSG, had donated a 39.9% shareholding in Dana Beleggings
Proprietary Limited (“Dana Beleggings”), an associate of Mr Mouton
which holds 10 278 495 PSG shares, to the Jannie Mouton Foundation, a
charitable organisation which supports various philanthropic
initiatives. The JF Mouton Familietrust, an associate of Mr Mouton,
has also now distributed a further 59% shareholding in Dana Beleggings
to the Jannie Mouton Foundation. The aforementioned two transactions
relate in aggregate to 98.9% of the issued share capital of Dana
Beleggings, following which the Jannie Mouton Foundation holds 100%
of the issued share capital of Dana Beleggings.
In compliance with rules 3.63 to 3.74 of the JSE Listings Requirements,
the following information is accordingly disclosed:

Shareholders are hereby advised, in terms of section 122(3)(b) of the
Companies Act No 71 of 2008 and paragraph 3.83(b) of the JSE Listings
Requirements, that the Company has received formal notification in the
prescribed form that the distribution by the JF Mouton Familietrust,
as detailed above, has resulted in Mr Mouton’s direct and indirect
beneficial shareholding in the Company reducing to 17.7% of the total
issued ordinary share capital (18.9% net of treasury shares).
