WITHDRAWAL OF NOTICE REQUIRING COURT APPROVAL TO IMPLEMENT THE SPECIAL
RESOLUTION APPROVING THE SCHEME OF ARRANGEMENT

Shareholders are referred to the announcement regarding the notice to obtain court approval to implement the
special resolution approving the scheme of arrangement (“the Scheme”) which was released on SENS on 29
September 2014.

Shareholders are advised that the shareholders who voted against the special resolution and who gave Kelly
notice, in terms of section 115(3)(a) of the Companies Act, that they require Kelly to obtain court approval for the
implementation of the special resolution approving the Scheme, have withdrawn their request. Accordingly, Kelly
is no longer required to apply to court to obtain approval for implementation of the Scheme.

Shareholders are further advised that the Scheme remains subject to certain conditions precedent. Once all
conditions precedent have been fulfilled or waived (in whole or in part), a further announcement regarding the
relevant dates for the implementation of the Scheme will be made.
