NOTIFICATION OF DISPOSAL OF BENEFICIAL INTEREST IN SHARES: TRP121
In compliance with section 122(3)(b) of the Companies Act 71 of 2008 (“the Companies Act”),
regulation 121(2)(b) of the Companies Act Regulations, 2011 and paragraph 3.83(b) of the JSE
Listings Requirements, shareholders are advised that Growthpoint has received notification from
Southern Palace Properties (Pty) Ltd (“Southern Palace Properties”) that it has disposed of its
entire holding of Growthpoint shares, which was equal to 5.4% of Growthpoint’s ordinary shares in
issue.
Southern Palace Properties, a company 70% owned by the black-owned and managed diversified
industrial holding company Southern Palace Group of Companies (Pty) Limited and 30% owned by
the Government Employees Pension Fund (GEPF) through its asset manager, the Public Investment
Corporation (PIC), acquired an 8.0% stake in Growthpoint Properties from the PIC, in July 2014.
Through that transaction, the PIC rebalanced its property portfolio and facilitated Southern Palace
Properties to become the largest non-institutional shareholder in Growthpoint.
The sale by Southern Palace Properties, of its Growthpoint shares, will negatively impact the equity
ownership element of Growthpoint’s BEE Scorecard.
However, Growthpoint remains fully committed to sustainable transformation and has a Board-
approved transformation strategy that encompasses all elements of the scorecard. This document

bbee-certificates. We are dedicated to achieving the objectives stated in this strategy.
As required in terms of section 122(3)(a) of the Companies Act, Growthpoint will file the requisite
notice with the Takeover Regulation Panel.
