RESULTS OF GENERAL MEETING

Investec Bank Limited is authorised to announce that the ordinary and
special resolutions necessary to:

* approve the acquisition by Growthpoint of a portfolio of properties ("the
MPF properties") from the Sentinel Mining Industry Retirement Fund

("Sentinel") and the Mine Employees Pension Fund ("MEPF") ("the
acquisition");

* approve a waiver by the Growthpoint linked unit holders of a mandatory
offer to be made by Sentinel and MEPF in terms of the Securities Regulation
Code and Rules of the Securities Regulation Panel;

* approve an increase in the authorised share capital of Growthpoint from
R500 000, consisting of 50 000 000 ordinary par value shares of 1 cent each
to R20 000 000 comprising 2 000 000 000 ordinary par value shares of 1 cent
each, by the creation of 1 950 000 000 ordinary par value shares of 1 cent
each, ranking pari passu in all respects with the existing ordinary shares
of the company; and

* authorise the directors, in their discretion, to issue any unissued
shares, in the share capital of the company, subject to the memorandum and
articles of association of the company, the provisions of section 221 and
section 222 of the Companies Act, 1973 (Act 61 of 1973), as amended, and the
Listings Requirements of the JSE Securities Exchange South Africa ("the
JSE"), were passed by the requisite majority of Growthpoint linked unit
holders at the general meeting of Growthpoint linked unit holders held on
Friday, 24 August 2001. The special resolution was registered by the
Registrar of Companies on Monday, 27 August 2001.

The new Growthpoint linked units to be issued in terms of the acquisition
will be listed on the JSE once all the MPF properties have been transferred
to and registered in the name of Growthpoint and all the conditions

precedent have been fulfilled, which is expected to occur during the week
ending Friday, 7 September 2001. A further announcement in this regard will
be made in due course.
