Results of general meeting

   Investec Securities Limited is authorised to announce that, at the
general meeting of Growthpoint linked unitholders held on Thursday, 4 April
2002 ("the general meeting"), the ordinary and special resolutions required
to give effect to, inter alia, the consolidation of the authorised and
issued share and debenture capital of the company on a one-for-five basis
("the consolidation"), were approved unanimously by Growthpoint linked
unitholders present and represented at the general meeting. The special
resolution will be lodged with the Registrar of Companies for registration.
The important dates and times in respect of the consolidation are set out in
the table below:

  New capital structure of Growthpoint listed on the
  JSE Securities Exchange

South Africa ("JSE") at 09:00 on                            Monday, 15 April
Trading in new consolidated linked units on the

  JSE commences at 09:00 on                                 Monday, 15 April
Record date for the consolidation on    Friday, 19 April

In respect of certificated linked unitholders, if existing

  linked unit certificates are surrendered together with

  forms of surrender on or before the close of business

  on Friday, 19 April 2002, new linked unit certificates

  will be posted, at the risk of linked unitholders on      Monday, 22 April
Dematerialised linked unitholders will have their safe
  custody accounts that they hold with their

  Central Securities Depository Participants or brokers

  updated with the new consolidated linked units and

  updated statements will be issued on                      Monday, 22 April
No dematerialisation or rematerialisation of the "old" preconsolidated
Growthpoint linked units may take place after Friday, 5 April 2002.

A further form of surrender, together with a copy of this announcement, will
be posted to certificated linked unitholders on or about 8 April 2002.
