DISTRIBUTION OF A CIRCULAR TO SHAREHOLDERS AND NOTICE OF A GENERAL MEETING

Shareholders are referred to the announcement released on SENS on 13 December 2017 regarding
the related party disposal of GetBucks Microfinance Bank Limited shares (“the Disposal”) and are
advised that a circular containing full details in respect thereof and incorporating a notice of a general
meeting, as detailed below, has been distributed today to all shareholders recorded in the Company’s
share register on 23 March 2018.

The Circular will also be available on the Company’s website: www.brainworkscapital.com.

NOTICE OF GENERAL MEETING

Notice is hereby given that a general meeting of shareholders of Brainworks will be held on Friday, 4
May 2018 at the Brainworks’ registered office, being Level 2, Alexander House, Silicon Avenue, Ebène
Cybercity, 72201, Republic of Mauritius at 10:00 (GMT+4) (“General Meeting”), to consider the
relevant resolutions to approve the Disposal.

The salient dates and times relating to the General Meeting are set out below:
