DIRECTORS OF AVIOR HOLDINGS AND UPDATE ON CAPITAL SHORTFALL EVENT
1. APPOINTMENT OF INDEPENDENT, NON-EXECUTIVE DIRECTOR TO THE BOARD OF DIRECTORS
OF AVIOR HOLDINGS
Shareholders of Avior Holdings (“Shareholders”) are referred to the announcement published by
the Company dated, 21 July 2017, in terms of which Shareholders were notified that the Company
commenced a recruitment process to fill the vacancy on the board of directors (“Board”) and audit
and risk committee (“AR Committee”) of Avior Holdings, pursuant to the resignation of Mr MD
Collier.
Further to the publication of the aforementioned announcement and in compliance with paragraph
3.59(a) of the Listings Requirements of the JSE Limited (“JSE”), Shareholders are hereby advised
that, Ms. Octavia Matshidiso Matloa (“Ms. Matloa”) has been appointed as an independent non-
executive director to the Board and as chairperson of the AR Committee, which appointments are
with immediate effect.
Summary curricula vitae of Ms. Matloa:
Ms. Matloa (41) is a chartered accountant registered with the South African Institute of Chartered
Accountants. She completed her articles with PwC in South Africa in 2000 before joining the
Department of Public Transport, Roads and Works in the Gauteng province, first as deputy chief
financial officer, followed by chief director management accounting. Since this time, Ms. Matloa
has founded a number of businesses, including Tsidkenu Chartered Accountants Incorporated and
Mukundi Mining Resources. In 2009, she was appointed by the High Court of South Africa as the
insurance industry's first female curator. Ms. Matloa served on the board of Great Basin Gold and
Village Main Reef, quoted gold mining companies, between 2011 and 2015, and is currently an
independent non-executive director of Petra Diamonds and eXtract Holdings.
The Board welcomes the appointment of Ms. Matloa and looks forward to her valued contributions.
2. UPDATE ON JSE INQUIRY
Shareholders are referred to paragraph 13.6 of the Pre-Listing Statement of Avior Holdings (“PLS”)
and the announcement published by the Company dated, 28 July 2017, relating to the
investigation by the JSE Market Regulation Division. This has been concluded and the JSE has
made the decision not to take enforcement action against Avior Capital Markets Proprietary
Limited.
3. ELECTRONIC PARTICIPATION AT THE ANNUAL GENERAL MEETING (“AGM”)
In terms of section 61(10) of the Companies Act, No 71 of 2008, as amended, every shareholders’
meeting of a public company must be reasonably accessible within South Africa for electronic
participation by shareholders. Further to the distribution of the notice of annual general meeting
(“AGM”) of Avior Holdings, Shareholders or their proxies wishing to participate electronically at the
AGM are required to:
- contact the Company Secretary, Ateeqah Khan (email address: ateeqah@avior.co.za) by
no later than 17h00 on Tuesday, 12 September 2017, in order to obtain a pin number and
dial-in-details for the AGM conference call; and
- provide reasonably satisfactory identification.
Each Shareholder will bear its own costs of accessing the AGM by electronic communication.
