  ADMISSION OF SHARES

Pan African announces that it has applied for the admission of 965,000
ordinary shares of 1p each in the Company (“Shares”) to trading on AIM. These
Shares were issued in February 2014 pursuant to the exercise of share options
as described in the Company’s announcement of 19 February 2014, but not
admitted to trading on AIM at that time. Admission is expected to occur at
8.00am on 28 December 2016. These Shares are already listed on the Main Board
of JSE Limited.

There is no change to the total issued share capital of the Company which
comprises 1,943,206,554 shares with no shares held in treasury.
