                                       2006 (the “Act”)

                    RESULTS OF COURT MEETING AND GENERAL MEETING

On 25 November 2021, the boards of Vivo Energy plc (the “Company” or “Vivo”) and BidCo announced
that they had reached agreement on the terms of a recommended cash offer for all of the issued and
to be issued ordinary share capital of the Company not already owned by the Existing Vitol Shareholders
(the “Offer”). The Offer is to be effected by means of a Court-sanctioned scheme of arrangement under
Part 26 of the Act (the “Scheme”).

Vivo announces that the Court Meeting to consider and, if thought fit, approve the Scheme and the
General Meeting to consider, and if thought fit, pass the Special Resolution relating to the Offer were
each held on 20 January 2022 and:

    •   the requisite majority of eligible Scheme Shareholders voted in favour of the Scheme at the
        Court Meeting; and

    •   the requisite majority of eligible Vivo Shareholders voted to pass the Special Resolution to
        implement the Scheme, including the amendment of Vivo’s articles of association (the
        “Articles”) and the re-registration of Vivo as a private limited company under the Companies
        Act 2006, at the General Meeting.

Next steps and timetable

The Scheme remains subject to the sanction by the Court at the Court Hearing, which is expected to
take place in the third quarter of 2022, and the satisfaction (or, if capable of waiver, the waiver by BidCo)
of the other Conditions to the Scheme that remain outstanding, as set out in the Scheme Document.



                                                                                                           
Subject to the Scheme receiving the sanction of the Court, the Scheme is expected to become effective
in the third quarter of 2022.

The expected timetable to principal events for the implementation of the Scheme remains as set out on
pages 17 to 19 of the Scheme Document. Vivo will give notice of any changes to the expected timetable
by issuing an announcement through a Regulatory Information Service and the Stock Exchange News
Service of the JSE and by making such announcement available on Vivo’s website
www.vivoenergy.com.

Terms defined in the Scheme Document dated 17 December 2021 have the same meanings in this
announcement.
