Finalisation of delisting of ADSs from the London Stock Exchange


Further to the announcement on 13 December 2021, the cancellation of the listing of its
American Depositary Shares (the “ADSs”) (which are evidenced by American Depositary
Receipts (“ADRs”)) on the standard segment of the Official List of the Financial Conduct
Authority and of trading on the Main Market of the London Stock Exchange plc was finalised
on 14 January 2022.
Naspers will maintain its current Level 1 ADR programme to give current ADR holders the
option to continue to hold ADRs. Level 1 ADRs are traded in the US over-the-counter market
as opposed to on a US national securities exchange.
Holders of the Company’s N ordinary shares will remain unaffected. The N ordinary shares of
the Company, including the N Ordinary Shares represented by the ADSs, will continue to trade
on the Johannesburg stock exchange in South Africa.
