CHANGES TO THE IMPORTANT FUNCTIONS OF DIRECTORS
In accordance with paragraph 3.59(c) of the JSE Limited Listings Requirements, shareholders are
hereby advised of the following changes made to the composition of the ADvTECH Board of Directors
(“ADvTECH Board”) and committees, with effect from 29 November 2021:

Mr. Chris Boulle, a non-executive director and the chairperson of the ADvTECH Board, chairperson of
the Investment and Nominations Committees, has stepped down as chairperson of the Investment
Committee and has been appointed as a member of the Transformation, Social and Ethics Committee;

Mr. Keith Warburton, a non-executive director of the ADvTECH Board, chairperson of the Audit and
Risk Committee and member of the Investment and Remuneration Committees, has been appointed
as the chairperson of the Remuneration Committee as well as Lead Independent Director of the
ADvTECH Board;

Mr. Clive Thomson, a non-executive director of the ADvTECH Board and a member of the Audit and
Risk and Investment Committees, has been appointed as the chairperson of the Investment
Committee and as a member of the Remuneration Committee; and

Ms. Sybile Lazar, a non-executive director of the ADvTECH Board, has been appointed as a member of
the Investment and Nominations Committees.
