CHANGES TO THE BOARD: RESIGNATION OF MR MARK MOFFETT
In compliance with paragraph 3.59 of the JSE Limited Listings Requirements, shareholders of
diversified resources group Exxaro are advised that Mr Mark Moffett has resigned as Independent
Non-Executive Director of the Company, and member of the Exxaro Audit Committee effective
11 May 2021.
Shareholders are hereby notified, following the resignation of Mr Moffett as a member of the Audit
Committee, that ordinary resolution 2.1 of the notice of the annual general meeting (AGM) will no
longer be proposed at the upcoming AGM on 27 May 2021, and will be retracted in its entirety on
both the notice and the proxy.
The Board expresses its sincere appreciation to Mark for his dedication, service and contribution
during his tenure over the past three years. Mark has also played a significant role as Chairman of
the Board of Exxaro Energy SPV and his remarkable influence is valued.
