NOTIFICATION OF CHANGE IN EXTERNAL AUDITOR
The market is referred to the reviewed financial results for the year ended 28 February 2021,
published on SENS on 15 April 2021 by the holding company and guarantor of the Company, PSG
Konsult Limited (“Guarantor”) (“Announcement”).
The Announcement, inter alia, advised that the Guarantor’s audit committee had recommended, and
its board of directors had endorsed, the proposed appointment of Deloitte & Touche (“Deloitte”) as
the external auditor of the PSG Konsult group with effect from the financial year ending 28 February
2022. This appointment, which remains subject to approval from the Prudential Authority of the South
African Reserve Bank, will be put to the Guarantor’s shareholders at its 2021 annual general meeting
for their approval. The appointment of Deloitte by the Guarantor will coincide with Deloitte’s
appointment by the Company as its external auditor, also with effect from the financial year ending
28 February 2022. The change in external auditor was initiated by the Guarantor and the Company
to early adopt mandatory audit firm rotation.
Accordingly, and pursuant to paragraph 6.28 of the JSE Limited Debt Listings Requirements, the
external audit services provided by PricewaterhouseCoopers Inc. will be terminated by mutual
agreement with effect from the conclusion of the audit for the year ended 28 February 2021.
