RESULTS OF ANNUAL GENERAL MEETING;
RETIREMENT OF COMPANY SECRETARY; AND
APPOINTMENT OF INTERIM COMPANY SECRETARY AND CHIEF FINANCIAL OFFICER (“CFO”)


Shareholders are advised that at the annual general meeting held on Wednesday, 10 February 2021 (“AGM”),
all resolutions as set out in the notice of AGM which was incorporated in the integrated annual report distributed
to shareholders on 27 November 2020, were duly approved by the requisite majority of shareholders present (in
person or represented by proxy) and voting.

Notes:

1.     There were 22 646 465 shares in issue as at the date of the AGM.
2.     The total number of shares that were present in person/represented by proxy at the AGM: 14 981 030
       shares being 66% of the total number of shares in issue (“Shares Voted”);
3.     Abstentions are represented above as a percentage of total number of shares in issue while the shares
       voted for and against are represented above as a percentage of the Shares Voted.

*** Shareholders are advised that Special Resolution number 1 was passed with a modification, as per a
    decision taken by the Board at the AGM, to read as follows:


   “Resolved that in terms of section 66(9) of the Act, the Company be and is hereby authorised to pay
   remuneration to its non-executive directors for their services as non-executive directors in the 2021
   financial period at the same rate as paid in 2020 as listed below.”

Retirement of the Company Secretary and appointment of an Interim Company Secretary and CFO

In compliance with paragraph 3.59 (b) of the JSE Limited Listings Requirements, the Nu-World board of directors
(“the Board”) hereby notifies shareholders that Bruce Hall Haikney retires as Company Secretary with effect from
10 February 2021.

As an interim measure the Board has appointed Travers Cape CA (SA) MBA as the Company Secretary and
CFO with effect from 10 February 2021.

A permanent appointment for the Company Secretary position will be made in due course and shareholders will
be updated accordingly.


The Board would like to thank Bruce for his invaluable contribution to both the Board and the Company over the
past 25 years and wishes him well in his future endeavors.
