APPOINTMENT OF CHAIRMAN

In accordance with paragraphs 3.59(c) and 6.39(c) of the JSE Limited Listings and Debt
Listings Requirements, the board of directors of the Company (“the Board”) wishes to advise
that Wendy Luhabe has been appointed as the Chairman of Pepkor. Wendy’s appointment
will be with effect from 1 December 2020 and will be for a three-year period commencing at
the end of the term of office of the current Chairman, Jayendra Naidoo.

Jayendra Naidoo, outgoing Chairman of the Board said “Wendy is a very experienced and
capable business leader, and has been appointed to the position of Chairman with the
unanimous approval and support of the Board members. We are confident the Board is in
good hands for the term ahead.”

In commenting on the appointment, Leon Lourens, Chief Executive of Pepkor, said “Pepkor
is extremely fortunate to be able to call on the wisdom and experience of Wendy as Chairman
of Pepkor. We are looking forward to working with Wendy as she leads the Board in ensuring
that Pepkor continues to grow and create value for all stakeholders.”

In accepting the appointment Wendy said “It is a singular honour to be appointed to a
company such as Pepkor that has a long and formidable history engaging with South Africans
at every level and adding value to the nation’s everyday needs. I look forward to working with
the board and management.”

Wendy Luhabe was appointed to the Board in January 2019. She is a pioneer in social
entrepreneurship and has been involved in human capital development, the economic
empowerment of women and mentorship of younger generations. Wendy holds four honorary
doctorates for her contribution towards the empowerment of women. She has served on listed
company boards over her almost thirty years of experience as a non-executive director.
Wendy is currently Chairman of Libstar Holdings Limited and is a member of the board of
Compagnie Financière Richemont SA.
