CHANGES TO THE BOARD OF MTN GROUP AND MTN SOUTH AFRICA
In compliance with paragraph 3.59 of the JSE Listings Requirements, the board of directors (“Board”)
of the Company wishes to advise shareholders of the following Board changes:
1. Christine Ramon
MTN announces that Christine Ramon will be stepping down as a director of the Company effective
30 September 2020. This is as a result of Christine expressing her wish to focus on her extended
executive responsibilities. Christine has been a director of MTN since 2014 and, for the last 5 years,
served as the chairman of the MTN Group Audit Committee.
Christine has played an invaluable role in ensuring the integrity of MTN’s corporate reporting and the
Board express their gratitude for her valued contribution to the Company and wish her well in her
future endeavours.
2. Sindi Mabaso-Koyana
MTN is pleased to announce the appointment of Sindi Mabaso-Koyana as an independent non-
executive director of MTN Group, effective 1 September 2020.
Sindi is a Chartered Accountant with experience in the public and private sectors. She is held in high
regard, both in South Africa and internationally, and has established herself as a thought leader in
the areas of finance, audit, risk management and corporate governance. Her career has included
being Managing Director of Viamax Logistics, a subsidiary of Transnet, Group Financial Director of
Transnet and an Executive Partner at Ernst & Young.
She has served as a Non-Executive Director of various companies including the Public Investment
Corporation, South African Airways, Armaments Corporation of South Africa, SAICA, FIFA, Eskom,
Altron Group and Adcorp Holdings.
Her current board positions include AWCA Investment Holdings, MTN Zakhele Futhi, Toyota SA and
Phembani Group.
In addition to her board appointment, and following due consideration of her independence, Sindi
will also assume the role of chairman of the MTN Group Audit Committee effective 1 October 2020.
The Board believes that Sindi is a worthy successor to Christine and wishes her the best in her new
roles.
3. Sugentharan Perumal
Following the announcement released on 19 August 2020 regarding the appointment of Ralph
Mupita, as the Group President and CEO, with effect from 1 September 2020, the Company has
embarked on a rigorous recruitment process to fill the vacancy of the Group Chief Financial Officer
(“GCFO”).
In the interim period, following the recommendation of the MTN Group Audit Committee, the Board
has appointed Sugentharan Perumal as Acting Group Chief Financial Officer effective 1 September
2020 whilst the recruitment process is underway.
Sugen, a Chartered Accountant for over 15 years, has extensive financial and accounting experience,
having served as an external auditor of MTN and held various key executive and board positions
within MTN. Sugen is currently the Acting Chief Financial Officer of our major subsidiary, MTN South
Africa and has previously held the Chief Financial Officer position at MTN Irancell.
The Chairman and the Board are confident in the extensive experience and knowledge of MTN that
Sugen brings to the role.
4. Dineo Molefe
MTN is pleased to announce the appointment of Dineo Molefe as the Chief Financial Officer of
MTN South Africa, effective 1 December 2020.
Dineo, who is a qualified Chartered Accountant, holds a B.Compt Hons/CTA from the University of
South Africa (“UNISA”) and an M.Com International Accounting from the University of Johannesburg.
She has also completed an Advanced Management Program at the Wharton School, University of
Pennsylvania. She joins MTN South Africa from T-Systems (South Africa) where she is currently Chief
Executive Officer.
Dineo brings a wealth of experience to MTN South Africa having served as Chief Financial Officer and
held executive positions within the ICT, investment management and energy sectors. She has held
senior roles at Vodacom, Thebe Investments and the Industrial Development Corporation (“IDC”)
and has an established track record of leading and managing complex business transformation
programs. Dineo also has many years of experience as a board member in both executive and non-
executive capacities.
The Board welcomes Dineo, wishing her success in her new role.
5. Rob Shuter
Finally, as announced previously, Rob Shuter will be stepping down as Group President and Chief
Executive Officer of MTN and as a director of the Company, with effect from 1 September 2020. The
Board once again expresses its gratitude for his leadership and wishes him success in his future
endeavours.
