NO CHANGE STATEMENT


MTN shareholders are advised that the Company has today, 31 March 2020, issued its suite of reports
for the year ended 31 December 2019 which are available on the Company’s website,
https://www.mtn.com/investors/financial-reporting. These include the integrated report, together with
audited annual financial statements, (on which the Company's auditors expressed an unmodified audit
opinion), which does not contain changes to the audited financial results, or audit report thereon, for the
year ended 31 December 2019 which were released as a preliminary report on the Stock Exchange News
Service (“SENS”) of the JSE Limited on Wednesday,11 March 2020.

Included in the suite of reports on the MTN website, is the sustainability report, which provides information
on the impact of the covid-19 pandemic on MTN and the initiatives being implemented by the Company
to mitigate its risks. Investors are also referred to the transcript of an analyst teleconference hosted by
MTN on 20 March 2020, which is published on the Company’s website – the transcript provides additional
details of the impact of covid-19 and how the Group is responding to the issue and related developments.
