CHANGES TO THE BOARD OF DIRECTORS – APPOINTMENT AND RESIGNATION OF INDEPENDENT
                             NON-EXECUTIVE DIRECTORS


In compliance with paragraph 3.59 of the Listings Requirements of the JSE Limited, the board of directors of
Italtile (“the Board”) hereby notifies its shareholders that Ms Zizipho Nyanga has resigned as an independent
non-executive director of the Board and a member of the Audit and Risk Committee with effect from
25 March 2020, and will take up an operational role within the Group with effect from 1 July 2020.

The Board would like to thank Ms Nyanga for her service on the Board and looks forward to her continued
contribution to the Group.

In addition, the Board hereby notifies shareholders that Mr Isaac Malevu has been appointed as an
independent non-executive director and member of the Audit and Risk Committee, with effect from
25 March 2020.

Mr Malevu, CA(SA), is currently the Chief Financial Officer for Client Coverage in the Corporate Investment
Banking division within the Standard Bank Group Limited. Prior to that he was audit partner at Ernst & Young.
Mr Malevu has in excess of 20 years of international experience and thought leadership in a range of specialist
areas including finance, treasury, corporate strategy, risk management and corporate governance.

The Board welcomes Mr Malevu and looks forward to his contribution.

Mr Malevu’s appointment reflects the Group´s continuing commitment to enhancing the diversity of the
Board and the expertise available to the business.
