Appointment of Mr. Willem Ockert van Wyk as an Alternate Director


On March 16, 2020, the directors of Grindrod Shipping Holdings Ltd. (the “Company”) approved the
appointment of Mr. Willem Ockert van Wyk as an alternate director of the Company. Mr. van Wyk is an alternate
director appointed by Mr. Petrus Johannes Uys. Mr. van Wyk is entitled to notice of directors’ meetings and, if
Mr. Uys is not present at a meeting, will be entitled to vote and will be counted in the quorum as a director. Mr.
van Wyk is entitled to attend, but not vote at and not count in the quorum for, each directors’ meeting at which
Mr. Uys is present.
