FINALISATION ANNOUNCEMENT RELATING TO THE CHANGE OF NAME AND ADOPTION OF MOI
Shareholders of Rhodes Food Group Holdings are referred to the announcements released on the Stock
Exchange News Service (“SENS”) on 20 February 2020, advising that all resolutions proposed at the
annual general meeting were approved by the requisite majority of votes, including that relating to the
proposed name change of Rhodes Food Group Holdings Limited to RFG Holdings Limited (“Change of
Name”) and to the adoption of a new Memorandum of Incorporation (“Adoption of MOI”) (“Special
Resolutions”).
Shareholders are further referred to the announcement released on SENS on 3 March 2020, wherein
they were advised that the Company awaited registration of the Special Resolutions by the Companies
and Intellectual Property Commission (“CIPC”).
The Company is pleased to confirm that the Special Resolutions have now been accepted and placed on
file by the CIPC.
Accordingly, the dates and times pertaining to the Change of Name are as follows:

Last day to trade under the old name ‘Rhodes Food Group Holdings Limited’ Tuesday, 31 March
Trade under the new name ‘RFG Holdings Limited’ under the JSE share code Wednesday, 1 April
RFG and ISIN ZAE000191979, from commencement of trading on
Record date in respect of the Change of Name Friday, 3 April
New share certificates reflecting the Change of Name posted by registered Monday, 6 April
post to certificated shareholders who have surrendered their documents of
title on or before 12:00 on the record date, or within five business days of
surrender thereof if received after 12:00 on the record date, on
Dematerialised shareholders accounts with their CSDPs or brokers updated to Monday, 6 April
reflect the Change of Name on
