RETIREMENT OF ALTERNATE DIRECTOR AND APPOINTMENT OF NEW NON-
EXECUTIVE DIRECTOR

In compliance with the JSE Listings Requirements, shareholders are
advised of the following changes to the Board.

Mr Burke
Mr John Burke will retire as an executive of the JSE, and as
alternate director on the JSE Board, effective 1 February 2020.

John has served as the Director: Issuer Regulation and as a member
of the JSE’s executive committee since 1997, and has served as an
executive director, and subsequently as alternate director, on the
JSE Board since 2005.

During a 30 year career at the JSE, John has made significant
contributions to corporate governance and to the disclosure
requirements for listed entities. He has also served as a member
and important contributor to the King Committee on Corporate
Governance.

The Board extends its grateful thanks to John for his committed
service and valuable contribution to the affairs of the JSE over
so many years.

Ms Cleary
Ms Siobhan Cleary will join the JSE Board as an independent non-
executive director, effective 1 February 2020.

Siobhan Cleary has extensive experience in strategy development,
public policy and sustainability within capital markets, both
internationally and in South Africa.

Siobhan’s most recent executive role was as head of research and
public policy at the World Federation of Exchanges (WFE), based
in London, where she led the WFE’s research agenda, and developed
the research unit into one that is internationally recognised and
referenced.

Siobhan also served as director of strategy and public policy for
the JSE until 2015. She continues to publish and present as a
thought-leader on the issues of climate finance, sustainable
development, financial market development, securities regulation
and technology.

Siobhan holds BA and LLB degrees from the University of Cape Town,
an MBA also from UCT, an MA in International Relations and
Economics from John Hopkins University and is a Yale World Fellow
of 2011 (a fellowship programme at Yale University).

Ms Cleary will join the JSE’s Group Social and Ethics Committee
and Group SRO Oversight Committee as from 1 February 2020.

The Board welcomes Ms Cleary and looks forward to her contribution.
