POSTING OF THE ANNUAL REPORT AND NOTICE OF ANNUAL GENERAL MEETING, CHANGES TO THE BOARD AND NO CHANGE STATEMENT


RDI, the income-focused UK-REIT, is pleased to announce that the following documents have been sent to
shareholders today: -

  -   the Annual Report incorporating the audited financial statements for the year ended 31 August 2019
      (the “Annual Report”);
  -   the notice of the Annual General Meeting to be held on 23 January 2020 (“AGM”); and
  -   the form of proxy in respect of the AGM

      (together, the “Documents”).

The AGM will be held at 20 St Dunstan’s Hill, London, EC3R 8HL on Thursday, 23 January 2020 at 11.00am
(UK time). The record date to attend and vote at the AGM will be close of business on Friday,
17 January 2020 for shareholders on the South African register, and close of business on Tuesday,
21 January 2020 for shareholders on the UK register.
As noted in the Annual Report, the structure of the Board has been under review and, arising from this, three
of the current Directors will not be standing for re-election at the AGM.

Marc Wainer will retire as a director of RDI following his retirement from the Board of Redefine Properties
Limited (“RDF”) in August 2019 and will not be replaced. We offer our thanks to Marc for his considerable
contribution during his eight-year tenure. Pieter Prinsloo will act as RDF’s sole representative on the RDI
Board and Andrew Konig, a Director of RDF, will be appointed his alternate with effect from
23 January 2020.

Stephen Oakenfull and Adrian Horsburgh will step down as members of the Board but will retain their roles
and titles as Deputy CEO and Property Director, respectively, on the executive committee. This will result in
the RDI Board comprising seven directors, which better reflects the current size of the Company. The changes
will improve the balance between independent and non-independent directors, aligning the composition of
the Board with the requirements of the 2018 UK Corporate Governance Code, whilst also improving Board
diversity.

Please note that the Annual Report contains no material changes to the results for the year ended
31 August 2019 as released on RNS and SENS on 24 October 2019.
