DEALING IN SECURITIES

In compliance with paragraphs 3.63 to 3.74 of the Listings
Requirements of the JSE Limited (“JSE”), shareholders are advised of
the following transaction:

Name of director:                      Mr J Halamandres
Class of securities:                   Ordinary shares
Nature of transactions:                The decision by J Halamandres to
                                       settle a loan obligation with
                                       Famous Brands securities. This is
                                       an off- market transaction. The
                                       settlement will take place on 7
                                       February 2020
Date of transaction:                   12 December 2019
Number of securities:                  300 000
Price per security:                    The price per security will be
                                       calculated on the close of business
                                       on 4 February 2020 determined as
                                       the greater of R102.20 or the
                                       simple average of the daily VWAP of
                                       the   Shares    for    the  10 (ten)
                                       Business   Days     prior  to    and
                                       including 4 February 2020
Transaction value:                     R23,811,000 - based on the market
                                       value of Famous Brands shares at
                                       close of business on 12 December
                                       2019 (for illustrative purposes)
Nature and extent of director’s
interest:                              Direct beneficial

The loan obligation, which is in terms of a loan agreement entered
into between the director and an independent third party financial
institution, is disclosed as required by the JSE Listings Requirements
when the director elects to make settlement to the financial
institution with Famous Brands securities in accordance with the terms
of that loan.

The prior   approval    of   the   Chairman   for   the   above   transaction   was
obtained.
