CHANGE IN FUNCTION OF DIRECTORS

In compliance with paragraph 3.59 of the JSE Limited Listings
Requirements, the following information is disclosed:

On 28 November 2019 the Remgro Board of directors appointed
Mr Fred Robertson, a current Remgro independent non-executive
director, as co-deputy chairman with Mr Josua Malherbe, who is the
current deputy chairman.

It was the Company’s previously stated intention (per the Stock
Exchange News Service announcement dated 19 September 2019) to
amend its Board Charter to provide for only one deputy chairman.
On reflection, Remgro has determined that Mr Robertson will bring
valuable insight, skills and experience to the deputy chairman
role. The Board Charter will accordingly remain unchanged.

Mr Phillip Jabulani Moleketi has been appointed as a member of the
Remuneration   and   Nomination   Committee   with   effect   from
28 November 2019.

Mr Gideon Gabriël Nieuwoudt has been appointed as a member of the
Investment Committee with effect from 28 November 2019.
