CHANGES TO THE BOARD OF DIRECTORS – CHANGES IN FUNCTION AND APPOINTMENT


In compliance with paragraph 3.59 of the Listings Requirements of JSE Limited, the board of directors
of African Phoenix (“the Board”) hereby notifies its shareholders that with effect from 15 November
2019:

o    Mr Oyama Mabandla, currently an executive director, has been appointed as executive
     Chairperson of the Board;

o    Mr Andrew James Hannington, who was appointed as a non-executive director of the Company
     on 13 November 2019, has been appointed as Chief Financial Officer of the Company; and

o    Mr Koketso Mercedes Mabe (“Koketso”) has been appointed as an independent non-executive
     director and Lead Independent Director.

     Koketso, who has a BCom (Insurance and Actuarial Science) degree from the University of
     Pretoria, is an executive director of Capital Link Partners Proprietary Limited (“Capital Link
     Partners”), an asset management company. Prior to joining Capital Link Partners in 2017, Koketso
     spent almost a decade at the Public Investment Corporation, initially as Senior Credit Risk
     Manager: Fixed Income and Private Equity Portfolios between April 2008 and March 2012, and
     subsequently as Executive Head: Private Equity and Structured Investments Products between
     April 2012 and February 2017.

     Having held numerous sub-committee positions at both private and public companies, as well as
     private equity funds, Koketso currently serves on various committees of Rand Mutual Assurance
     Group and Afgri Holdings Proprietary Limited.

     The Board welcomes Koketso and looks forward to his contributions to the Company.
