Shareholders are further referred to the SENS announcement published on 30 September 2019, wherein it was advised that 95,36% of Shareholders approved the Warrant Agreement and herein the Warrant Agreement became unconditional. Shareholders are advised that Evo has since subscribed for, and Trustco has issued four warrant certificates (“Certificates”) as per the Warrant Agreement, which results in Evo becoming the sole warrant holder in Trustco. In addition, the Certificates give Evo, the right, but not the obligation, to subscribe for 97 427 000 ordinary TTO shares, at an average share price of NAD20.56 per share. Shareholders are advised that the Certificates entitle Evo, on an aggregated basis, to subscribe for such number of ordinary shares in Trustco that would amount to circa 7,5% of the ordinary issued shares of Trustco, and therefore will not result in a change of control.
