OF ANNUAL GENERAL MEETING (“AGM”)


Posting of Integrated Annual Report and No Change Statement
Shareholders are advised that the Group’s 2019 Integrated Annual
Report, containing the Audited Summarised Consolidated Annual
Financial Statements for the year ended 30 June 2019, has been
distributed to shareholders on 27 September 2019. There were no
changes to the audited summarised preliminary results released on SENS
on 27 August 2019.


The full Audited Annual Financial Statements, Integrated Annual Report
and Notice of AGM will be available today on the Group website at
https://www.imperiallogistics.com/inv-reports.php from 9am CAT.


The Annual Financial Statements were audited by Deloitte & Touche, who
expressed an unqualified audit opinion thereon. The audit report is
also available for inspection at the Company’s registered offices.


Notice of AGM

Shareholders are further advised that the AGM of Imperial will be held
on Wednesday, 30 October 2019 at 09:00 CAT at the Imperial Place, 79
Boeing Road East Bedfordview, Johannesburg, Gauteng.
The record date for purposes of determining shareholders entitled to
participate in and vote at the AGM is Friday, 25 October 2019,
accordingly, the last date to trade will be Tuesday, 22 October 2019.
The notice of the AGM is contained in the aforementioned Integrated
Annual Report distributed to shareholders on 27 September 2019.


B-BBEE Annual Compliance Report

In compliance with paragraph 16.21(g) of the JSE Listings Requirements,
Shareholders are advised that Imperial’s annual compliance report in
terms of section 13G(2) of the Broad-Based Black Economic Empowerment
(“B-BBEE”) Act has been submitted to the B-BBEE Commission and is
available on the Company’s website.
