NOTICE OF CHANGES TO THE COMPOSITION OF THE MASSMART BOARD COMMITTEES AND
RESIGNATION OF COMPANY SECRETARY
In accordance with paragraph 3.59 of the JSE Limited Listings Requirements, the Board of Directors of Massmart
(the “Board”) wishes to advise shareholders of the following:
CHANGES TO BOARD COMMITTEES
The Board is pleased to announce the following Board Committee changes following the appointments of Mr.
Mohammed Abdool-Samad and Mr. Mitchell (Mitch) Slape, as the Company’s Chief Financial Officer and Chief
Executive Officer, respectively:
Massmart Risk Committee
Mr. Abdool-Samad (Chief Financial Officer) is appointed to serve as a member of Massmart’s Risk Committee
with effect from 1 August 2019.
Mr. Slape (Chief Executive Officer) is appointed to serve as a member of Massmart’s Risk Committee with effect
from 1 September 2019.
Massmart Social and Ethics Committee
Mr. Slape is appointed to serve as a member of Massmart’s Social and Ethics Committee with effect from 1
September 2019.
The Board wishes both Mr. Slape and Mr. Abdool-Samad all of the best and success in their expanded roles on
the Board.
NOTICE OF RESIGNATION
Resignation of Company Secretary – Mr. Joe Ralebepa
The Board regrets to announce the resignation of Mr. Joseph (Joe) Ralebepa as the Massmart Group Company
Secretary with effect from 31 December 2019. Mr. Ralebepa recently informed the Board of his decision to step
down as Massmart’s Group General Counsel and Company Secretary to pursue a new career opportunity outside
of the Company in January 2020.
Shareholders will be informed of Mr. Ralebepa’s successor in the role of Group Company Secretary in due course.
The Board and the Massmart Executive Committee extend their appreciation and thanks to Mr. Ralebepa for his
counsel to the Board and invaluable contribution to Massmart during his tenure with the Company.
