Changes to the board and executive responsibilities of Directors Mazor Group Limited (Incorporated in the Republic of South Africa) (Registration number 2007/017221/06) Share code: MZR ISIN: ZAE000109823 (“Mazor” or “the Company”) CHANGES TO THE BOARD AND EXECUTIVE RESPONSIBILITIES OF DIRECTORS (“MAZOR BOARD”) In accordance with paragraph 3.59(c) of the JSE Limited Listings Requirements, shareholders are hereby advised of the following changes to the Mazor Board with effect from 20 August 2019: * Mr Monty Kaplan (“Mr Kaplan”) has stepped down as Chairman of the Mazor Board but will continue to serve as an independent non-executive director. * Mr Kaplan has also resigned as a member of the Audit and Risk Committee. *Mr Kaplan will continue to serve on the Nomination and Remuneration committee and was elected as Chairman of the Remuneration committee in place of Mr Frank Boner (“Mr Boner”), who will take over as Chairman of the Nomination committee from Mr Kaplan. *Mr Boner was elected as Chairman of the Mazor Board. *Mr Abubaker Varachhia (“Mr Varachhia”), whose independence as a non-executive director was confirmed and approved by the Mazor Board in terms of King 4, was elected as a member of the Audit and Risk Committee, in the place of Mr Kaplan. *Mr Varachhia was elected as Chairman of the Audit and Risk Committee, replacing Mr Boner, who, however, will continue to serve as a member of the Audit and Risk Committee, due to his vast experience and expertise in this field.
