CHANGE IN AUDITORS

In March 2019 the Barloworld Audit Committee issued a
Request for Proposal for external audit services. Following
the conclusion of this process, the Audit Committee has
recommended and the Board has endorsed the proposed
appointment of Ernst & Young Inc (EY) as the auditors of
Barloworld with effect from, and including the financial
year ending 30 September 2020. This will be a shared
appointment with SNG-Grant Thornton (SNG-GT) who, going
forward, will play an increasing role in the audit of the
Barloworld group.

This appointment will be put to shareholders at the annual
general meeting scheduled for 12 February 2020.

Deloitte will continue to audit Barloworld’s accounts in
respect of financial year ending 30 September 2019. On
conclusion of the 2020 Annual General Meeting, Deloitte
will stand down, and EY and SNG-GT will be appointed as
Barloworld auditors.
