NOTIFICATION OF TOP-UP PAYMENT TO SCHEME PARTICIPANTS IN TERMS OF THE SCHEME


Using the terms defined in the Scheme Circular to Torre shareholders dated 21 December 2018,
which contained details of the Offer and Delisting of the Company, Scheme Participants are
advised that the Consortium has determined that the Top-up Payment is equal to R0.00 per Torre
Share and thus no Top-Up Payment is due or payable.

Scheme Participants collectively holding more than 50% of the Torre Shares may dispute the
determined amount of the Top-Up Payment by providing the Consortium with a joint notice within
10 calendar days of this notification, in which event, the determination of the Top-Up Payment will
be finally determined by an independent auditor appointed by the Consortium.

If the determination of the Top-Up Payment is disputed, and finally determined by the
independent auditor to be more than R0.00 per Torre Share, such Top-up Payment will be
controlled, administered and paid to Scheme Participants by the Transfer Secretaries, Link Market
Services South Africa Proprietary Limited, on 15 August 2019.
