Change of Chairman to the Board of Directors Omnia Holdings Limited Incorporated in the Republic of South Africa (Registration number 1967/003680/06) Share code: OMN ISIN: ZAE000005153 (“Omnia” or “the Group”) CHANGE OF CHAIRMAN TO THE BOARD OF DIRECTORS In compliance with paragraph 3.59 of the Listings Requirements of JSE Limited, the board of directors of Omnia (“the Board”) hereby notifies its shareholders that Mr Rod Humphris will be retiring from the Board at the September 2019 Annual General Meeting. In order to facilitate a smooth changeover, Mr Humphris has decided to step down as Chairman of the Board immediately. Mr Ralph Havenstein, who has been the lead independent director, will succeed Mr Humphris. Mr Humphris has served as the non-independent, non-executive Chairman of the Group since 1 June 2017. Mr Humphris, who joined the Omnia Group of companies in 1982 and has spent 20 years on the Board affirmed: “This has been a wonderful, satisfying career filled with opportunity and immense challenges. I personally enjoyed, in the latter part of my career, the challenge of building up a chemical company with a myriad of chemical services from a company which was renowned as an agriculture company. The company today is vastly different from the one that I joined in 1982 as a young project engineer. The can-do attitude of its people coupled with an immense drive for innovation has always been something I have treasured. The Board expresses its gratitude to Mr Humphris for his invaluable and varied contributions to the Omnia Group, and wishes him well in his retirement.
