FURTHER CAUTIONARY ANNOUNCEMENT WITH RESPECT TO THE POTENTIAL
DISPOSAL OF NAMPAK‘S GLASS BUSINESS

Further to the cautionary announcements released by the Company on
28 February 2019 and 11 April 2019, shareholders are advised that
negotiations are still in progress with the preferred bidder in
respect of the potential disposal of the Nampak Glass business which,
if successfully concluded, may have a material effect on the price of
the Company’s securities.

Whilst the negotiation process continues to take longer than
anticipated as a result of the complexities involved in this
transaction, the parties remain fully committed to the conclusion of
this transaction.

The transaction, if concluded, will be subject to competition
authority approval and dependent upon the ultimate control structure
of the purchaser and its shareholders, may constitute an intermediate
or large merger.

Accordingly, shareholders are advised to continue exercising caution
when dealing in the Company’s securities until a full announcement is
made.
