CHANGE IN STATUTORY AUDITORS


In compliance with paragraph 3.75 of the JSE Listings Requirements (“LR”), shareholders are
advised that, following careful consideration in terms of our global strategic initiatives and obtaining
expert advice in this regard, the board of directors (“Board”) decided to embark on a tender process
to consider the appointment of one of the four largest international auditing firms.

The Audit & Risk Committee, after following the process set out in paragraph 3.84(g)(iii) of the LR,
recommended the appointment of Deloitte & Touche as the Company’s external auditor with
Sebastian Carter as designated partner.

The Board has accordingly appointed Deloitte & Touche as auditor for the year ending 28 February
2019 as a replacement for Grant Thornton Johannesburg Partnership (now BDO South Africa Inc.).
This appointment is effective immediately.

Shareholders will have the opportunity to meet the auditors at Cartrack’s Annual General Meeting
later this year.
