FINALISATION OF FAIRNESS OPINION – INDIRECT RELATED PARTY TRANSACTION
Shareholders are referred to the announcement released on 14 November 2018
wherein it was advised that PLG Properties Proprietary Limited, a wholly owned
subsidiary of the Company, had entered into an agreement with Finch Haven
Retirement CC to acquire a property in Fairland for a consideration of R16 million
which consideration would be vendor financed over a period of seven years. It was
subsequently found that the transaction was an indirect related party transaction and
would therefore require a fairness opinion from an independent expert.
Shareholders are advised that the fairness opinion has been concluded and that the
terms of the transaction are fair as far as the shareholders of the Company are
concerned. A copy of the fairness opinion in this regard has been provided to the JSE.
As required in terms of paragraph 10.7(c) of the JSE Listings Requirements, the fairness
opinion will lie open for inspection at the registered office of Pembury, 111 9th Avenue
Fairland, Johannesburg, 2030, for a period of 28 days from the date of this
announcement.
Shareholders are advised that the acquisition remains subject to the transfer of the
property.
