Change in directorate YeboYethu (RF) Limited (Incorporated in the Republic of South Africa) (Registration number: 2008/014734/06) Share code: YYLBEE ISIN: ZAE000218483 ("YeboYethu” or the “company”) CHANGE IN DIRECTORATE Shareholders are referred to the circular dated 18 July 2018 which shareholders received in July 2018, which outlined details, inter alia, the change in shareholding from Vodacom (Pty) Limited to Vodacom Group Limited. As part of this transaction the memorandum of incorporation (MOI) was revised. This included a change in the company’s directorate, where every shareholder shall be entitled to nominate one director for appointment to the board for every 10% of the issued ordinary shares of the company held individually by that shareholder. In accordance with paragraph 3.59 of the JSE Listings Requirements, shareholders are advised that that the following have been appointed to the Board with effect from, Monday 15 October 2018: - Katlego Kobue - Udo Lucht - Neliswa Booi - Andile Mjamekwana (alternate to Ms Booi) Mr Katlego Kobue has been appointed to the Board as a non-executive director and represents Royal Bafokeng Holdings (RBH) as a shareholder in YeboYethu. Katlego is an Investment Manager in RBH’s Investment team and has over seven years’ experience in investments. He was part of the team that developed and executed the company’s energy strategy and has specialised in multiple sectors including telecommunications, resources, media, asset management and property. Katlego is currently in the resources and industrials team focusing on the Telecommunications. Mr Udo Lucht has been appointed to the Board as a non-executive director and represents Royal Bafokeng Holdings (RBH) as a shareholder in YeboYethu. Udo joined the RBH Investments team in July 2016, where he currently heads the Resources and Industrials Portfolio. Prior to moving to RBH, Udo was a Senior Resource Finance Transactor in Rand Merchant Bank’s Investment Banking division. Udo has extensive experience in the areas of BEE structuring and financing, and providing financing solutions to South African mining corporates. Ms Neliswa Booi has been appointed to the Board as a non-executive director and represents Thebe Investment Corporation (Thebe) as a shareholder in YeboYethu. Neliswa is currently the General Manager of Thebe’s Media & Telecommunications portfolio since March 2016. Prior to that, she spent over 10 years of her career in operations management and governance, corporate finance, investment advisory, indices research analysis and business analysis across various companies Mr Andile Mjamekwana has been nominated by Ms Booi as her alternate director to the Board. Andile has more than 12 years Investment Banking and Investment Management experience and currently works at Thebe in the Business Development and Strategy division mainly dealing Power and Infrastructure. He previously worked at Absa Capital’s Investment Banking Advisory as an Associate Director, Associate Director at HSBC’s Investment Banking Advisory division and at PricewaterhouseCoopers in Corporate Finance (Valuation and Strategy division).
