Resignation of Non-Executive Director and Chairman: TT Mboweni


Following the appointment of Mr TT Mboweni as the Minister of
Finance of the Republic of South Africa as announced on 9 October
2018, Nampak wishes, in terms of section 3.59 of the Listings
Requirements of the JSE Limited, to announce the resignation of Mr
Mboweni as director and chairman of the Board of Nampak Limited with
effect from 10 October 2018. Mr Mboweni was also the chairman of the
Nominations Committee and a member of the Remuneration Committee.

The Board of directors thank Mr Mboweni for his dedication and
valuable contribution during his tenure as Chairman of the Board
since 2010 and wish him well in his new role as the Minister of
Finance.

The Board has appointed Mr PM Surgey, currently non-executive
director and Lead Independent Director, as pro tem Chairman of the
Board of Nampak Limited, with effect from 10 October 2018. The
Nominations Committee will in due course consider and nominate a
successor for the role of chairman in line with its formal
succession plan.
He has also been appointed as chairman of the Nominations Committee.
Mr RC Andersen, also a non-executive director, will replace Mr
Surgey as chairman of the Remuneration Committee.

Mr Surgey has been a non-executive director of Nampak Limited for 9
years. He holds a BA LLB degree and was managing director of Plascon
(Pty) Ltd, chief executive officer of Barloworld Coatings (Pty) Ltd
and a director of Barloworld Limited.
