Audited financial statements
Shareholders are advised that the Company’s Integrated Report will be lodged with the
JSE Limited and distributed to shareholders today, Thursday, 29 March 2018. The Integrated
Report will also be available on Barclays Africa Group’s website from 29 March 2018.
An abridged financial results report has not been published, as the information previously
published in the Group’s audited results on Thursday, 1 March 2018 is unchanged. KPMG
Inc. and Ernst & Young Inc. audited the Group’s results and their unmodified audit reports are
available for inspection at the registered office of the Company.


Notice of the Annual General Meeting
Notice is hereby given that Barclays Africa Group’s Annual General Meeting (AGM) will be
held in Room 8.02, Barclays Towers West, 15 Troye Street, Johannesburg on Tuesday,
15 May 2018 at 10:00 to transact the business as stated in the notice of AGM.


In terms of section 59(1) (b) of the Companies Act, 71 of 2008, the record date for the
purpose of determining which shareholders are entitled to participate in and vote at the AGM
(being the date on which a shareholder must be registered in the Company’s securities
register in order to participate in and vote at the AGM) is Friday, 4 May 2018. Therefore the
last day to trade in Barclays Africa Group shares in order to be in the register is Tuesday,
1 May 2018.
Change of name
The abovementioned notice of AGM contains a special resolution, requiring an approval by
75% of shareholders, to effect the change of name from “Barclays Africa Group Limited” to
“Absa Group Limited”. Shareholders are advised of the following salient dates for the change
in name (subject to change):

Further Disclosure on Normalised Earnings
With the process of separating from Barclays PLC well under way, including receipt of the
R12,6bn settlement contribution in June 2017, Barclays Africa Group has reported both IFRS
compliant financial results and a normalised view. The latter adjusts for the consequences of
the separation and better reflects the Group’s underlying performance and capital adequacy
information.
Further to the disclosure in the annual results announcement released on SENS on 1 March
2018, set out below are additional relevant disclosures required in terms of the JSE Listings
Requirements (“LR”).


Non-IFRS measures such as normalised results are considered pro forma financial
information as per the LR. The pro forma financial information, as disclosed in the SENS
announcement on 1 March 2018, is the responsibility of the Group’s Board of directors and is
presented for illustrative purposes only and because of its nature may not fairly present the
Company’s financial position, changes in equity, and results in operations or cash flows. An
assurance report has been prepared and issued by our joint auditors KPMG Inc. and EY Inc.
in respect of the pro forma financial information, which is available for inspection at our
registered offices.


Broad Based Black Economic Empowerment Act: Annual Compliance Report
In accordance with paragraph 16.20 (g) and Appendix 1 to Section 11 of the JSE Listings
Requirements, notice is hereby given that the Company´s annual compliance report in terms
of section 13G(2) of the Broad Based Black Economic Empowerment Act has been published
and is available on the Company´s website at:
