IMPORTANT DATES RELATING TO RESULTS OF GENERAL MEETING CONVENED TO CONSIDER
THE SCHEME OF ARRANGEMENT (“the Scheme Meeting”)


Shareholders were on 14 July 2017 advised that all the resolutions contained in the notice convening the
Scheme Meeting were approved by the requisite majorities of shareholders present in person or represented
by proxy at the Scheme Meeting of the company held on Friday, 14 July 2017.

Shareholders are accordingly reminded that the salient dates regarding implementation of the Scheme are as
follows:

If the Scheme is approved by Moneyweb Shareholders at the General
Meeting:
Last date for Moneyweb Shareholders who voted against the Scheme to require                 Monday, 24 July
Moneyweb to seek court approval for the Scheme in terms of section 115(3)(a) of
the Companies Act (where applicable) on

Last date for Moneyweb Shareholders who voted against the Scheme to apply to                Monday, 31 July
court for leave to apply for a review of the Scheme in terms of section 164(3)(b) on

Last date for Moneyweb to send objecting Moneyweb Shareholders notices of the               Monday, 31 July
adoption of the special resolution approving the Scheme, in accordance with
section 164 of the Companies Act, on

Action
The following dates assume that neither court approvals nor the review of
the Scheme is required and will be confirmed in the finalisation
announcement if the Scheme becomes unconditional:

Finalisation Date announcement expected to be released on SENS on                          Monday, 7 August

Last Day to Trade-entitlement to Scheme Consideration                                    Tuesday, 15 August

Suspension of listing of Moneyweb Shares at the commencement of trade on the           Wednesday, 16 August
JSE

Scheme Consideration Record Date to be recorded in the Register in order to               Friday, 18 August
receive the Scheme Consideration expected to be on or about

Expected Operative Date of the Scheme on                                                  Monday, 21 August

Settlement of the Scheme Consideration expected to take place on                          Monday, 21 August

Expected termination of listing of Moneyweb Shares on the JSE at the                     Tuesday, 22 August
commencement of trade on or about

Shareholders should note that the implementation of the Scheme remains conditional upon the fulfilment of
certain conditions precedent as detailed in the Circular. Further announcements will be released once the
remaining conditions precedent have been fulfilled.
